General Terms and Conditions M-Packaging

1. Definitions

In these general terms and conditions, the following definitions apply:

  • M-Packaging: M-Packaging located at Den Isomo 9A, 2990 Wuustwezel, Belgium
  • Customer: Any natural person or legal entity entering into an agreement with M-Packaging.
  • Agreement: Any agreement between M-Packaging and the customer, including all related appendices and amendments.
  • Products: All pallets and related products offered and delivered by M-Packaging.
  • Services: All services offered and performed by M-Packaging, including but not limited to pallet repair, sorting, and transport.


2. Applicability

  • These general terms and conditions apply to all offers, quotations, agreements, and deliveries by M-Packaging, unless expressly agreed otherwise in writing.
  • Any diverging terms and conditions of the customer are explicitly rejected, unless accepted in writing by M-Packaging.


3. Offers and Quotations

  • All offers and quotations from M-Packaging are non-binding, unless expressly stated otherwise.
  • An agreement is only concluded after M-Packaging has sent a written confirmation of the order or has commenced performance of the agreement.
  • Prices in quotations are exclusive of VAT, unless otherwise indicated.


4. Delivery

  • Delivery takes place at the address specified by the customer, unless otherwise agreed.
  • Delivery times are indicative and are not binding on M-Packaging, unless expressly agreed otherwise.
  • In case of exceeding the delivery time, the customer is not entitled to damages, unless there is intent or gross negligence on the part of M-Packaging.
  • Upon delivery of the products, the customer must immediately inspect them for any damages or deviations. Any defects must be reported to M-Packaging in writing within 24 hours after delivery.


5. Payment

  • Payment must be made within the agreed period, without any deduction or setoff, unless otherwise agreed in writing.
  • In case of late payment, the customer is in default by operation of law and owes an interest of 10% per month on the outstanding amount.
  • In case of late payment, M-Packaging may suspend further deliveries.
  • All extrajudicial collection costs are borne by the customer.


6. Retention of Title

  • All delivered products remain the property of M-Packaging until the customer has fully paid all amounts due.
  • The customer is not authorized to pledge or otherwise encumber products delivered under retention of title.


7. Liability

  • M-Packaging is not liable for any damage, direct or indirect, arising from the use of the delivered products or services, unless there is intent or gross negligence on the part of M-Packaging.
  • In any case, the liability of M-Packaging is limited to the invoice amount of the respective delivery or service.
  • M-Packaging is not responsible for damage caused by incorrect use of the products by the customer.


8. Force Majeure

  • In case of force majeure, including but not limited to strikes, fire, floods, war, epidemics, pandemics, and government measures, M-Packaging is not obliged to fulfill its obligations.
  • Force majeure also includes the situation in which suppliers of M-Packaging are unable to deliver in a timely or correct manner.


9. Applicable Law and Disputes

  • Belgian law applies to all agreements between M-Packaging and the customer.
  • All disputes arising out of or relating to these agreements will be submitted to the competent court in Antwerp, Turnhout division.


10. Amendments

  • M-Packaging is entitled to amend these general terms and conditions. Changes will be communicated to the customer in writing or electronically and will take effect [number] days after publication, unless otherwise stated.
